Lot — Terms of Service

1. The Service

Lot provides cloud-based sandbox environments that allow you to run AI agents and related workloads. Each sandbox is an isolated, ephemeral compute environment provisioned through our sandbox infrastructure provider. Users may also maintain a persistent personal directory (/usr) that is retained across sandbox sessions. Use of the Service requires installation of the Lot Agent GitHub App to connect your GitHub repositories and organizations, which enables Lot to read and interact with your codebase on your behalf.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms, and references to "you" include that entity.

3. Accounts

3.1 Registration

You may register using a Google or GitHub OAuth login. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@lot.dev if you suspect unauthorized access.

3.2 Accuracy

You agree to provide accurate, current, and complete information and to keep it updated.

4. GitHub App

4.1 Installation and Permissions

Installation of the Lot Agent GitHub App ("Lot Agent GitHub App") on your personal GitHub account or GitHub organization is required to use the Service. Without it, Lot cannot read your codebase or execute agent tasks on your behalf. By installing the Lot Agent GitHub App, you grant Lot the permissions you select during installation, which may include:

  • Read and/or write access to selected repositories;
  • Access to repository metadata (names, descriptions, topics, visibility, default branch);
  • Access to repository contents (code files, commit history) to the extent required to fulfill your agent tasks;
  • Access to webhooks for receiving repository events;
  • For organization installs: access to organization membership information as permitted by GitHub's API.

4.2 Organization Installs

If you install the Lot Agent GitHub App on a GitHub organization, you represent that you are an owner or administrator of that organization with authority to grant the requested permissions. By proceeding, you agree to these Terms on behalf of the organization.

4.3 Scope of Use

Lot will access your GitHub repositories and organization data solely to provide the Service features you request. We will not:

  • Access repositories you have not explicitly selected for integration;
  • Store repository contents outside of your ephemeral sandbox environment or your /usr directory, beyond what is necessary to complete a requested task;
  • Use your code or repository data to train AI models;
  • Share your repository data with third parties except as described in the Privacy Policy.

4.4 Revoking Access

You may revoke the Lot Agent GitHub App's access at any time through your GitHub account or organization settings under "Installed GitHub Apps." Revoking access will disconnect your repositories from the Service. Lot will cease accessing new data upon revocation; data already processed in accordance with these Terms is governed by our data retention practices.

4.5 GitHub Terms

Your use of the Lot Agent GitHub App is subject to GitHub's Terms of Service and Acceptable Use Policies. Lot is not responsible for GitHub's acts or omissions.

5. Bring Your Own Key (BYOK)

The Service supports BYOK functionality, allowing you to connect your own third-party API keys to your sandbox environments. You are solely responsible for:

  • The security and appropriate use of any API keys you provide;
  • Compliance with the terms and conditions of any third-party service whose keys you use;
  • All costs, charges, or liabilities arising from your use of those third-party services.

Lot stores BYOK credentials in encrypted form using industry-standard key management practices (AWS KMS), but makes no guarantees regarding the security of third-party services.

6. Pricing, Credits, and Payments

6.1 Free Credits

New users receive a one-time credit of $5.00 USD ("Free Credit") upon account creation. Free Credits are non-transferable, have no cash value, and expire upon account termination.

6.2 Subscription

After exhausting Free Credits, continued use of the Service requires a subscription of $5.00 USD per month ("Subscription"), which includes $5.00 in usage credits per billing cycle. Usage exceeding included credits is billed at applicable usage-based rates described in our pricing documentation.

6.3 Billing

All payments are processed through Stripe, Inc. By providing payment information, you authorize Lot to charge your selected payment method on a recurring monthly basis. Subscriptions renew automatically unless cancelled before the next billing date.

6.4 Refunds

All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. If you believe a charge is in error, contact us at legal@lot.dev within 30 days of the charge.

6.5 Taxes

You are responsible for all applicable taxes. We will add sales tax or VAT where required by law.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right;
  • Conduct unauthorized penetration testing, vulnerability scanning, or exploit development;
  • Mine cryptocurrency or engage in resource abuse;
  • Generate, distribute, or store illegal content, including content that exploits minors;
  • Attempt to reverse-engineer, decompile, or disassemble the Service;
  • Circumvent rate limits, access controls, or billing systems;
  • Use GitHub App access to exfiltrate, scrape, or republish repository data outside the intended Service functionality;
  • Use the Service in a way that violates the acceptable use policies of any API key provider connected via BYOK or any connected GitHub organization's policies.

We reserve the right to suspend or terminate your account for violations of this section without prior notice.

8. Intellectual Property

8.1 Your Content

You retain all ownership rights in code, data, repository contents, and other content you create, upload, or connect to the Service ("Your Content"). You grant Lot a limited, non-exclusive, royalty-free license to host, process, and transmit Your Content solely to provide the Service.

8.2 Lot IP

All rights in the Service, including software, infrastructure, interfaces, trademarks, and documentation, are owned by Lot Agent, Inc. or its licensors. Nothing in these Terms grants you any rights in Lot's intellectual property except the limited right to use the Service as described herein.

8.3 Feedback

If you provide feedback or suggestions about the Service, you grant Lot a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.

9. Data and Privacy

Our collection and use of your personal data is governed by our Privacy Policy, incorporated herein by reference. You acknowledge that sandbox environments are ephemeral and Lot does not guarantee persistence of data outside your /usr directory. You are responsible for backing up any data you wish to retain.

10. Third-Party Services

The Service integrates with or relies on third-party services including Google, GitHub, Neon, Vercel, Amazon Web Services, E2B, Statsig, Google Analytics, and Stripe. The sandbox infrastructure provider (currently E2B) may change over time; the current provider is always listed in our Privacy Policy. Your use of those services is subject to their respective terms and policies. Lot is not responsible for the acts or omissions of any third-party provider.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LOT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SANDBOX ENVIRONMENTS ARE EPHEMERAL AND LOT MAKES NO GUARANTEES REGARDING DATA PERSISTENCE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOT AGENT, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR CODE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING ANY GITHUB APP INTEGRATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LOT'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO LOT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

13. Indemnification

You agree to indemnify, defend, and hold harmless Lot Agent, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) Your Content; (c) your GitHub App installation, including any organization-level grant you authorize; (d) your violation of these Terms; or (e) your violation of any third-party right, including any intellectual property or privacy right.

14. Termination

Either party may terminate these Terms at any time. You may cancel your account via your account settings. We may suspend or terminate your access immediately for breach of these Terms, non-payment, or as required by law. Upon termination, your right to use the Service ceases immediately. Your /usr directory and associated data will be deleted after a 30-day grace period. Lot Agent GitHub App access is not automatically revoked upon account termination. You are responsible for manually uninstalling the Lot Agent GitHub App from your GitHub account or organization settings. We strongly recommend doing so promptly upon termination to prevent unintended access.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Santa Clara County, California, and each party consents to personal jurisdiction and venue in such courts. Notwithstanding the foregoing, nothing in these Terms limits the application of Article VII of Lot Agent, Inc.'s Certificate of Incorporation, which designates the Court of Chancery of the State of Delaware as the exclusive forum for internal corporate matters. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY LEGAL PROCEEDING ARISING FROM THESE TERMS.

16. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will notify you by email or prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17. Miscellaneous

  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Lot regarding the Service.
  • Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary; remaining provisions remain in full force.
  • Waiver: Failure to enforce any provision shall not constitute a waiver.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms freely.
  • Force Majeure: Lot shall not be liable for delays or failures caused by events beyond our reasonable control.
